These Terms constitute a binding agreement between you ("User" or "Client") and Solid Line Inc., a California corporation operating solidline.dev under the DBA Solid Line Development ("Solid Line," "we," "us," "our").
If you're using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.
These Terms apply to: (a) free web-based tools hosted at solidline.dev; (b) software applications distributed by Solid Line Inc.; (c) professional services engagements; and (d) content and documentation published on solidline.dev. Separate statements of work or EULAs may supplement these Terms for specific engagements or products.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use tools on solidline.dev for personal or internal business purposes. You may not scrape, redistribute, resell, or incorporate the tools or their outputs into competing products without written permission.
Applications are licensed, not sold. Each is subject to its own EULA where provided; these Terms govern where no EULA exists. You may not decompile, reverse engineer, or sublicense any application without written authorization.
All rights not expressly granted are reserved by Solid Line Inc.
You agree not to use the Services to violate any law; transmit harmful or infringing content; attempt unauthorized system access; introduce malicious code; conduct unauthorized automated data collection; impersonate Solid Line or its personnel; interfere with service performance; or use any Service to develop competing tools without written permission.
Professional services are initiated by a signed Statement of Work (SOW) that incorporates these Terms. In case of conflict, the SOW controls.
Client must provide accurate information, access, and timely feedback. Delays caused by Client's failure to do so may result in timeline adjustments and additional fees at our standard rates.
Deliverables are deemed accepted if Client provides no written objection within ten (10) business days of delivery, unless otherwise specified in the SOW.
Material scope or timeline changes require a signed written change order before additional work commences.
Free tools remain free at our discretion; we reserve the right to introduce fees with reasonable notice. For paid software, all sales are final unless otherwise stated by the applicable platform. For professional services, invoices are due net 15; late payments accrue interest at 1.5%/month or the maximum permitted by California law. Client is responsible for all applicable taxes.
All software, source code, documentation, designs, trademarks, and content created by or for Solid Line Inc. are owned by or licensed to Solid Line Inc. "Solid Line Development" and "solidline.dev" are trade names of Solid Line Inc.
Upon receipt of full payment, Client receives a non-exclusive license to use custom deliverables. Solid Line retains all underlying tools, frameworks, libraries, and pre-existing IP. Solid Line may use generalized learnings and non-confidential methodologies for future work.
Client retains ownership of materials provided to us. Client grants us a limited license to use them solely for performing the Services.
Unsolicited feedback or suggestions you provide may be used by Solid Line without compensation or obligation.
Each party will hold the other's non-public, reasonably confidential business information in confidence and use it only for performing under these Terms. This obligation survives termination for three (3) years, with trade secrets protected indefinitely. Standard exceptions apply (publicly available information, independent development, legally required disclosure).
10.1 In no event shall Solid Line Inc., its officers, employees, contractors, or agents be liable for indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, data, goodwill, business interruption, property damage, or cost of substitute services — even if advised of the possibility of such damages.
10.2 Solid Line's total aggregate liability for any claims arising under these Terms shall not exceed the greater of: (a) fees paid by you in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
10.3 These limitations apply regardless of the theory of liability. Some jurisdictions do not allow certain liability limitations; in those jurisdictions, liability is limited to the maximum extent permitted.
You agree to defend, indemnify, and hold harmless Solid Line Inc. and its officers, employees, and agents from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
The Services may integrate with or link to third-party platforms. Those services are governed by their own terms; we are not responsible for their content, availability, or practices. Data sources cited in our tools are for reference; we make no representation that such data is current or applicable to your specific situation.
We may modify these Terms at any time by posting revised Terms with an updated effective date. Continued use after the effective date constitutes acceptance. For material changes we will make reasonable efforts to provide notice.
We may suspend or terminate access immediately for violations of these Terms or applicable law. Sections 7, 8, 9, 10, 11, and 15 survive termination.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Before filing any formal proceeding, the parties will attempt good-faith informal resolution for at least 30 days by contacting info@solidline.dev.
Except for claims for injunctive relief or IP disputes, disputes shall be resolved by binding arbitration administered by JAMS in San Diego County, California under its Streamlined Arbitration Rules. The arbitrator's decision is final and may be entered as a court judgment.
All disputes must be brought on an individual basis. You waive any right to class, collective, or representative proceedings.
These Terms constitute the entire agreement between you and Solid Line regarding the Services. If any provision is found unenforceable, it shall be enforced to the maximum extent possible and remaining provisions stay in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent. We may assign freely. Force majeure events excuse performance.
